The purpose of this web application, SupplyLink, is to provide Stakeholders such as Suppliers, Distributors, and other Stakeholders with access to valuable supply chain information provided by Centralized Supply Chain Services, LLC ("CSCS"). This information is intended to assist Stakeholders in making informed decisions about their business.

Much, if not all, of the information made available through SupplyLink is sensitive and proprietary. Due to the confidential and proprietary nature of the information accessible through SupplyLink, every user must agree to certain rules and restrictions on the use of the information provided or obtained through this web application.

Stakeholders may use the information accessible through SupplyLink for their internal business planning purposes only and for no other purpose. Stakeholders agree to treat the information accessible through SupplyLink as confidential and not disclose the information obtained through this web application to any third party who is not independently entitled to access such information.

Stakeholders will take reasonable measures to protect the secrecy of and avoid disclosure of the information accessible through SupplyLink. A Stakeholder’s failure to comply with these obligations could violate these rules and restrictions and could further cause CSCS to violate its obligation of privacy under contracts of CSCS, could assist other restaurant systems that compete with the Applebee’s and/or IHOP concepts and could, under certain circumstances, violate state and federal law.

You agree to indemnify CSCS for all costs, expenses, damages and liabilities (including attorney’s fees and costs) incurred by CSCS for a breach of these terms and conditions by you.

CSCS makes no warranty or representation with respect to the accuracy, completeness or timeliness of the information that is accessible through SupplyLink. EACH STAKEHOLDER ACKNOWLEDGES AND AGREES THAT SUCH STAKEHOLDER USES THE INFORMATION ACCESSIBLE THROUGH SupplyLink AT ITS OWN RISK.

CSCS DOES NOT GUARANTEE CONTINUOUS, UNINTERRUPTED OR FAIL-SAFE AND SECURE ACCESS TO SupplyLink. FURTHER, EXCEPT AS OTHERWISE EXPRESSLY PROVIDED, CSCS PROVIDES THE INFORMATION, SupplyLink AND ANY RELATED SERVICES “AS IS” AND WITHOUT ANY WARRANTY OR CONDITION, EXPRESS OR IMPLIED.

CSCS SPECIFICALLY DISCLAIMS THE IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT WITH RESPECT TO SupplyLink AND ANY SERVICE PROVIDED PURSUANT HERETO.

CSCS may change, suspend or eliminate all or any aspect of SupplyLink at any time, including the availability of any service, feature or information provided through the web application.

You agree that in no event will CSCS (or any of its members, officers, directors or employees) be liable for lost profits or any special, incidental, or consequential damages arising out of or in connection with your use of SupplyLink or the reliance on data obtained through the web application, even if CSCS had been advised of the possibility that such damage may occur.

Further, you agree that neither CSCS nor any of its members, officers, directors, or employees will be liable for any technical, hardware or software failure of any kind, any interruption in the availability of SupplyLink, any delay in operation or transmission, any incomplete or garbled transmission, computer virus, loss of data, or other similar loss.

INTRODUCTION Welcome to SupplyLink, a service provided by Centralized Supply Chain Services, LLC (CSCS®). CSCS recognizes that many stakeholders who use SupplyLink are concerned about how information they provide online is maintained and used by CSCS. To address these concerns and to demonstrate our firm commitment to privacy, we have developed and implemented this privacy policy (this “Privacy Policy”) so you will know how CSCS gathers, secures, and provides information. Please review this Privacy Policy from time to time as CSCS reserves the right to update or change it periodically.

SupplyLink allows stakeholders, such as suppliers, distributors, and other stakeholders, access to the information provided by CSCS. CSCS enables row-level security to ensure all stakeholder data is secure and accessible based on stakeholders' permissions.

TERMS AND CONDITIONS OF USE Your use of SupplyLink and the services provided through this web application are subject to your agreement to, and compliance with, this Privacy Policy. Therefore, please read the following carefully. Your continued use of SupplyLink will indicate your agreement to be bound by this Privacy Policy. If you do not agree to be bound by this Privacy Policy, you must promptly discontinue use of this web application.

CONTENTS OF WEB APPLICATION The design and layout and other content on this web application are protected by trade dress, copyright, and other laws, which prohibit unauthorized copying or imitation of such components of this web application. Unless expressly permitted by CSCS in writing, you do not have CSCS’s permission to copy or transmit any logo, graphic, sound, or image on this web application.

TRADEMARKS CSCS’s name and logo are trademarks of CSCS and are protected under state and federal law. You agree not to make unauthorized use of CSCS’s marks.

INFORMATION COLLECTED CSCS does not actively initiate any collection of personally identifiable information from anyone who is not a stakeholder, with the exception of investigating security breaches or cooperating with authorities in connection with an actual or potential legal proceeding.

CSCS passively collects information that is automatically sent to us by your web browser. This information typically includes your URL and IP address. CSCS uses your URL and IP address to help diagnose problems with our server and to administer our web application.

When you use SupplyLink, CSCS may store some information on your computer. This information will be in the form of a “cookie” or similar file. Cookies are small pieces of information stored on your hard drive, not on this web application. Cookies do not spy on you or otherwise invade your privacy, and they cannot invade your hard drive and steal information. Rather, they help you navigate a web application as easily as possible. This statistical data is used by CSCS to help improve SupplyLink and respond to the preferences of visitors and stakeholders.

CSCS will not share a stakeholder’s nonpublic information with another stakeholder or any other party. CSCS may aggregate certain stakeholder information and provide it to other parties in such a manner as to not identify any particular stakeholder, or otherwise use such information in the aggregate, in a manner consistent with the mission of CSCS. CSCS will not share or sell any information collected at this site for direct marketing purposes.

In addition to the other uses described above, CSCS will use information you provide on this site to contact you in response to any inquiries or requests you may have, to describe and/or offer CSCS services to you, and to otherwise communicate with you.
